Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the Synagora platform and any purchases made through it. By accessing or using Synagora, you agree to be bound by these Terms.

1. About Synagora

Synagora Ltd ("Synagora", "we", "us", "our") is a company registered in England and Wales.

Synagora operates a cooperative group-commerce platform offering dynamically priced products based on collective participation.

2. Eligibility & Accounts

You must:

  • Be at least 18 years old
  • Provide accurate and complete information
  • Use the platform lawfully

You are responsible for maintaining account confidentiality. We reserve the right to suspend or terminate accounts for misuse, fraud, manipulation, or breach of these Terms.

3. The Synagora Model – Dynamic Group Pricing

Synagora operates a dynamic pricing model via time-limited campaigns ("Projects"). Each Project may include:

  • A defined campaign duration
  • A starting price ("Base Price")
  • A dynamic price ladder
  • A minimum participation threshold (if applicable)
  • A maximum participation cap (if applicable)

3.1 How Pricing Works

  • You are charged the price displayed at checkout
  • Prices decrease only if participation thresholds are reached
  • You will never pay more than the displayed price at the time of purchase

3.2 Final Price Determination

At Project close:

  • The total confirmed participation is calculated
  • The final price tier is determined
  • If the final price is lower than the price you paid, you will automatically receive a refund for the difference

3.3 Base Price Confirmation (No Tier Unlock)

If no additional pricing tiers are unlocked:

  • The Base Price remains the final price
  • No refund or additional discount will apply
  • Your order proceeds at the Base Price originally paid

Participation in a Project does not guarantee a price reduction.

4. Payment & Processing

Payments are processed securely via Stripe or other regulated payment providers. By placing an order, you authorise Synagora to:

  • Charge your payment method
  • Process automatic partial refunds where applicable
  • Issue full refunds if a Project is unsuccessful or cancelled

We do not store full payment card details.

5. Project Outcomes

5.1 Successful Projects

A Project is successful if:

  • Any stated minimum participation threshold is met; and
  • The campaign period expires

Upon success:

  • Orders are confirmed
  • Procurement or fulfilment begins
  • Estimated delivery timelines apply

5.2 Unsuccessful Projects

If a Project fails to meet its minimum threshold:

  • The Project is cancelled
  • You will receive a full refund

5.3 Project Cancellation at Synagora's Discretion

Synagora reserves the right to cancel, suspend, or modify any Project prior to dispatch where reasonably necessary, including:

  • Supplier withdrawal or failure
  • Material pricing or listing errors
  • Fraud or manipulation concerns
  • Legal or regulatory issues
  • Commercial impracticality
  • Force majeure events

Where cancelled, a full refund will be issued. Synagora's liability is limited to refunding the purchase price paid.

5.4 Supplier Non-Performance or Supply Failure

If a supplier fails to deliver goods, becomes insolvent, cannot meet required quantities, or delivers materially inconsistent goods, Synagora may:

  • Source an alternative supplier
  • Offer a substitute product of equal or greater value
  • Cancel the Project and issue refunds

Synagora does not guarantee supplier performance beyond refunding the purchase price paid.

5.5 Procurement Volume Flexibility

Due to aggregated purchasing and supplier logistics, final fulfilled quantities may vary slightly from projected participation totals. Synagora reserves the right to adjust procurement volumes within reasonable commercial tolerances.

This does not affect your right to receive either:

  • The product purchased; or
  • A full refund if fulfilment becomes impossible

6. Refund Processing Timeline

Refunds — including dynamic pricing refunds, cancelled Project refunds, and returned goods refunds — are processed promptly after eligibility is confirmed. However:

  • Banks and card issuers may take 5–10 business days (or longer) to reflect refunds
  • Processing times vary by payment provider
  • Refund visibility delays are outside Synagora's control
  • Refunds cannot be expedited upon request

7. Delivery & Risk

  • Orders are dispatched the next business day after purchase
  • All stock is held in UK warehouses
  • Delivery timelines are estimates
  • Risk transfers to you upon delivery to your address

We are not liable for delays caused by:

  • Couriers
  • Customs
  • Force majeure events

8. Consumer Cancellation Rights

Under UK Consumer Contracts Regulations:

  • You may cancel within 14 days of receiving goods
  • Goods must be unused and returned in original condition
  • Return shipping costs are borne by the customer unless goods are faulty
  • Refunds are processed within 14 days of receipt of returned goods

9. Faulty or Misdescribed Goods

Under the Consumer Rights Act 2015, you may be entitled to:

  • Repair
  • Replacement
  • Refund

if goods are faulty or materially misdescribed.

10. Pricing Errors

If a clear pricing error occurs, we may cancel affected orders. A full refund will be issued. We are not obliged to honour obvious errors.

11. Fair Use & Platform Integrity

11.1 Participation Manipulation Prohibition

You agree not to:

  • Artificially inflate participation numbers
  • Coordinate purchases to trigger pricing tiers artificially
  • Use bots, scripts, or automated systems
  • Create duplicate or fraudulent accounts
  • Manipulate refund outcomes

If manipulation is suspected, Synagora may:

  • Cancel affected orders
  • Remove pricing benefits
  • Suspend accounts
  • Pursue legal remedies where appropriate

11.2 Fraud & Abuse

We reserve the right to investigate suspicious activity and cooperate with payment providers and law enforcement.

11.3 Chargebacks & Payment Disputes

Customers agree not to initiate unjustified chargebacks where:

  • The Project is operating in accordance with stated terms
  • Refunds are pending within normal processing timelines
  • Delivery is within estimated timeframes

If a chargeback is initiated in bad faith, Synagora may:

  • Suspend or terminate accounts
  • Recover administrative and dispute fees
  • Refuse future service
  • Provide supporting evidence to payment processors

Nothing limits statutory consumer rights.

12. Referral Programme

Synagora may offer a referral programme that allows users to invite others to join the platform and receive certain benefits, including but not limited to unlocking pricing tiers or other promotional advantages.

By participating in the referral programme, you agree to the following terms.

12.1 Eligibility

Referral codes and invitation links are issued to registered users of Synagora and may only be used for legitimate invitations to new users who have not previously registered with Synagora.

A referred user must sign up using the referral link or referral code provided and must complete the applicable registration process for the referral to be considered valid.

Synagora reserves the right to determine, at its sole discretion, whether a referral qualifies as valid.

12.2 Referral Rewards

Where applicable, successful referrals may result in certain benefits being credited to the referring user, such as unlocking pricing tiers, discounts, or other promotional incentives.

Any referral rewards or tier unlocks granted prior to platform launch will apply only to the referring user's first eligible purchase unless otherwise stated.

Referral benefits have no cash value unless expressly stated and may not be transferred, exchanged, or redeemed for cash.

Synagora may impose limits on the number of referral rewards that may be earned by a user.

12.3 Referral Code Validity

Referral codes and invitation links issued by Synagora are valid for a period of three (3) months from the date of issuance unless otherwise specified.

Synagora reserves the right to expire, disable, or modify referral codes after this period without prior notice.

12.4 Referral Promotion and Distribution

Participants in the referral programme may share referral links or codes for the purpose of inviting others to join Synagora, provided that such sharing is conducted in a lawful and responsible manner.

Referral links must not be distributed through:

  • Unsolicited commercial communications (including spam email or automated messaging)
  • Misleading or deceptive marketing practices
  • Paid advertising or sponsored promotion using Synagora's name, trademarks, or branding without prior written consent
  • Websites, forums, or platforms where such promotion violates the rules or policies of those platforms

Users are solely responsible for ensuring that their promotion of referral links complies with applicable laws, regulations, and platform rules.

Synagora reserves the right to remove referral eligibility or invalidate referrals generated through methods that it reasonably determines to be inappropriate, abusive, or in violation of these Terms.

12.5 Referral Rewards and Pricing Adjustments

Where the referral programme provides for the unlocking of pricing tiers, discounts, or other purchase-related benefits, such benefits will apply only in accordance with Synagora's pricing structure and programme rules at the time of purchase.

Referral rewards may:

  • Apply only to the referring user's first eligible purchase
  • Be limited to specific products or promotional campaigns
  • Be subject to minimum purchase or participation requirements

Where a referral reward results in a lower purchase price or refund adjustment, such adjustments will only be processed in accordance with Synagora's pricing and refund policies.

Synagora reserves the right to determine the eligibility, timing, and amount of any pricing adjustment associated with referral rewards.

Referral rewards may be withdrawn where Synagora reasonably determines that the underlying referral activity was invalid, cancelled, fraudulent, or otherwise ineligible.

12.6 Abuse and Misuse

Referral codes must not be used in a manner that is misleading, deceptive, or intended to manipulate the referral programme.

Prohibited activities include, but are not limited to:

  • Creating multiple accounts to generate referral rewards
  • Self-referrals
  • Automated or bulk account creation
  • Using false identities or payment methods
  • Posting referral links in a manner that violates platform policies or applicable laws
  • Any activity that artificially inflates referral counts

Synagora reserves the right to withhold, revoke, or cancel referral benefits, and to suspend or terminate accounts where abuse or misuse of the referral programme is suspected.

12.7 Referral Tier Manipulation

Because Synagora's pricing model may include price reductions based on the number of participants in a purchase, users must not engage in any activity intended to artificially manipulate tier unlocks or pricing thresholds.

Prohibited behaviour includes, but is not limited to:

  • Coordinated purchases intended solely to trigger price tier reductions
  • Placing orders without genuine purchase intent
  • Cancelling or returning purchases after contributing to a price tier unlock
  • Creating multiple accounts to influence pricing thresholds

Where Synagora reasonably determines that tier manipulation or coordinated activity has occurred, Synagora reserves the right to:

  • Disregard or reverse affected transactions
  • Remove referral rewards or pricing benefits
  • Cancel associated orders
  • Suspend or terminate accounts involved in such activity

12.8 Programme Changes

Synagora may modify, suspend, or terminate the referral programme at any time without liability, including changes to eligibility requirements, referral thresholds, or rewards.

Any such changes will apply to referrals made after the effective date of the modification unless otherwise stated.

13. Platform Availability

We do not guarantee uninterrupted or error-free operation. We may suspend or modify services for maintenance, upgrades, or security.

14. Intellectual Property

All intellectual property relating to:

  • The Synagora brand
  • Platform architecture
  • Pricing mechanisms
  • Content and design

is owned by Synagora Ltd. Unauthorised reproduction is prohibited.

15. Data Protection

We process personal data in accordance with:

  • UK GDPR
  • Data Protection Act 2018

16. Limitation of Liability

To the fullest extent permitted by law:

  • Synagora is not liable for indirect or consequential losses
  • Total liability shall not exceed the amount paid for the relevant product

Nothing excludes liability for:

  • Death or personal injury caused by negligence
  • Fraud
  • Breach of statutory rights

17. Force Majeure

We are not liable for delays or failure due to events beyond reasonable control, including:

  • Natural disasters
  • Government restrictions
  • Supply chain disruption
  • Cyber incidents

18. Changes to These Terms

We may amend these Terms periodically. Continued use constitutes acceptance of updated Terms.

19. Governing Law

These Terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
